By accepting the terms and condition, you (Customer / Subscriber) understood and accepted that:

• Accord Fintech Pvt. Ltd. having its registered office at Navabharat Press Bldg., 2nd floor, Plot No. 13, Sector 8, Near Millennium Tower, Sanpada (E), Navi Mumbai – 400 705 (hereinafter referred to as “Accord Fintech”) is the lawful owner and Licensor of the product - ACE MF Nxt.. Online [www.acemfnxt.com] (hereinafter referred to as “Product”) which is a web based mutual fund database tool for research. The IPRs of the Product are belongs to Licensor.
• Access to this Product is provided to the Customer or Subscriber on subscription based.
• Subscribed product license will work on one browser of the device. Subscriber need to subscribe additional licenses to work on other devices.
• Use of the Product is permitted only to subscriber and his/her employees for internal use. Subscriber should not permit to access this product to any group companies or any third party or cannot be consumed in other application within the organization or subsidiaries.
• Subscriber shall not make a copy, transfer or distribute in any media (whether by license, loan, rental, sale or otherwise) all or any part of the Product, during the validity of the License or thereafter. The Subscriber shall effectively maintain adequate security measures to safeguard the Product from unauthorized access, use or copying.
• Subscription / Renewal fee is not refundable.
• Accord Fintech shall use its best endeavors to ensure that the Product is accurate, complete and current. Accord Fintech do not assume any responsibility for the accuracy or correctness or timeliness of the Information in Product. Neither Accord Fintech nor any of their affiliates/associates shall be responsible for any judgment, liability (including negligence), loss, cost or damage resulting from or arising out of the content of the Information that Accord Fintech provides in the Product.
• Any event beyond the control of the Accord Fintech, which could not be anticipated upon formation of this Subscription and it makes it temporarily or permanently impossible to perform all or any part of the obligations, Accord Fintech shall not be liable for any delay in, or failure of, performance of any of its obligations under this Subscribed Service.
• As per the subscription contract, the service shall be provided for a period from the date of subscription, until and unless Subscriber inform Accord Fintech about the discontinuation of service in writing. The further service, at the sole discretion of Accord Fintech, shall be renewed and continued for a further period of the initial term at the same terms and conditions. Subscriber will be informed in advance in case if any changes in the terms and conditions.
• In the event of any violation of the provisions of this Subscription contract and unauthorized use of the Product by the Subscriber, Accord Fintech shall have right to terminate this Subscription contract.
• In the event of expiry or termination Subscriber shall promptly destroy/delete all such Information from its archives, back-up or any other media and within seven days thereof Subscriber shall certify to Accord Fintech that it has done so.
• Termination/expiry of the License shall not affect provisions of the License which by their terms or meaning are of a continuing nature.
• All or any disputes arising out of or in relation to the terms of this subscribed Product shall be settled amicably by mutual discussions failing which the same shall be settled through arbitration. The Arbitration proceeding shall be conducted in English language and in Mumbai.
• This contract shall be construed and interpreted in accordance with and governed by the laws of India. And the courts at Mumbai, Maharashtra shall have jurisdiction over matters arising out of or relating to this contract.
